13. Indemnification

You agree to indemnify, defend, and hold harmless Spinras and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and costs) that arise out of or relate to: (a) your use or misuse of the Service, (b) your violation of any of these Terms, (c) your violation of any rights of a third party (such as infringing someone’s intellectual property or misusing someone’s personal data), or (d) your contests/promotions, including any claims from participants or authorities that your contest was illegal, improperly operated, or that you failed to deliver a prize. Spinras reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (at your expense), and you agree to cooperate with our defense of such claim. You shall not settle any such claim without our prior written consent.
